IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE MARKETHUSTLE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 16 THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

1. Introduction and Definitions

Welcome to MarketHustle (“Platform,” “we,” “us,” or “our”). MarketHustle is operated by MarketHustle LLC, an Illinois limited liability company. These Terms of Service (“Terms”) govern your access to and use of the MarketHustle website, mobile applications, and all related services (collectively, the “Platform”).

“User” means any individual or entity that accesses or uses the Platform, including Buyers and Sellers.

“Buyer” means a User who browses, inquires about, books, or purchases services or products through the Platform.

“Seller” or “Vendor” means a User who lists, offers, or provides services or products through the Platform.

“Service” means any service listed on the Platform by a Seller, including but not limited to event services, personal services, home services, food services, rentals, and other local services.

“Booking” means a confirmed arrangement between a Buyer and Seller for the provision of a Service or product.

“Content” means any text, images, photos, videos, reviews, listings, messages, or other materials posted or transmitted through the Platform.

2. The MarketHustle Platform

2.1 Platform Role

MarketHustle is a marketplace platform that connects Buyers with independent Sellers. MarketHustle is not a service provider, employer, agent, or contractor of any Seller. We do not provide, control, supervise, direct, or perform any of the services listed on the Platform. All services are provided solely by independent Sellers who use the Platform to market their offerings.

MarketHustle does not endorse, certify, guarantee, or verify the qualifications, background, credentials, licenses, insurance, quality, legality, or safety of any Seller, Service, product, listing, or Content on the Platform.

2.2 No Employment Relationship

Sellers are independent service providers and are not employees, agents, joint venturers, or partners of MarketHustle. MarketHustle does not control the manner, method, or means by which Sellers perform their services. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between MarketHustle and any User.

2.3 User Responsibility

Transactions conducted through the Platform are between the Buyer and the Seller. MarketHustle is not a party to any agreement between Buyers and Sellers. Users are solely responsible for their interactions, agreements, and transactions with other Users.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to create an account and use the Platform. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. MarketHustle is not liable for any loss or damage arising from your failure to secure your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. MarketHustle reserves the right to suspend or terminate accounts with inaccurate, fraudulent, or incomplete information.

4. Seller Terms and Responsibilities

4.1 Seller Representations

By listing a Service or product on the Platform, Sellers represent and warrant that:

(a) They have all necessary licenses, permits, certifications, and insurance required by applicable federal, state, and local laws to provide the services they offer.

(b) They will comply with all applicable laws, regulations, ordinances, and industry standards in the performance of their services, including but not limited to health and safety regulations, food safety laws, business licensing requirements, and anti-discrimination laws.

(c) They have the legal right and authority to offer and perform the services described in their listings.

(d) All information provided in their listings is accurate, complete, and not misleading.

(e) They will fulfill Bookings in a professional, timely, and workmanlike manner consistent with the descriptions in their listings.

(f) They carry adequate insurance coverage for the services they provide, where applicable.

4.2 Food Services

Sellers who offer food, catering, baking, or any food-related services represent and warrant that they comply with all applicable food safety laws and regulations, including but not limited to state cottage food laws, food handler certifications, health department requirements, and any applicable local regulations. MarketHustle does not verify, inspect, or certify the food safety practices, kitchen conditions, health permits, or certifications of any Seller. Buyers acknowledge that food services are provided solely by the Seller at the Seller's own risk and responsibility.

4.3 Service Quality

Sellers are solely responsible for the quality of their services and products. MarketHustle does not guarantee, warrant, or make any representations regarding the quality, safety, reliability, timeliness, or legality of services offered through the Platform.

4.4 Taxes and Compliance

Sellers are solely responsible for determining and fulfilling their tax obligations, including collecting and remitting applicable sales tax, income tax, and self-employment tax. MarketHustle does not currently collect or remit sales tax on any transactions. Sellers are responsible for understanding and complying with all applicable tax laws in their jurisdiction. MarketHustle may issue a Form 1099-K or 1099-NEC as required by the IRS for payments processed through the Platform.

4.5 Listing Accuracy

Sellers agree to keep their listings accurate and up to date, including pricing, availability, descriptions, and images. Misleading, false, or deceptive listings are prohibited and may result in account suspension or termination.

5. Buyer Terms and Responsibilities

5.1 Due Diligence

Buyers are responsible for evaluating Sellers, services, and products before making a Booking. This includes reviewing listings, asking questions, reading reviews, and verifying that the Seller meets the Buyer's requirements. MarketHustle encourages Buyers to communicate with Sellers before booking to clarify expectations.

5.2 Assumption of Risk

Buyers acknowledge and agree that the use of services obtained through the Platform is at their own risk. MarketHustle does not screen, vet, verify backgrounds, or certify Sellers beyond the information Sellers voluntarily provide. Buyers should exercise their own judgment and take appropriate precautions when meeting Sellers in person or allowing Sellers access to their property.

5.3 Accurate Booking Information

Buyers agree to provide accurate information when making a Booking, including event details, location, timing, and any special requirements. Failure to provide accurate information may result in service issues for which MarketHustle bears no responsibility.

6. Payments

6.1 Payment Processing

MarketHustle uses Stripe, a third-party payment processor, to facilitate payments between Buyers and Sellers. By using the Platform, you agree to Stripe's terms of service and privacy policy.

6.2 Platform Fee

MarketHustle charges a platform service fee of 5% on each transaction processed through the Platform. This fee is deducted from the Seller's earnings at the time of transfer. The platform fee is subject to change with notice to Users.

6.3 Payment Hold

For transactions processed through Stripe (“Pay Now”), the full payment amount is collected from the Buyer and held by MarketHustle until the service has been delivered and the Buyer accepts delivery. Upon acceptance, the Seller's earnings (minus the platform fee) are transferred to the Seller's connected Stripe account.

6.4 In-Person Payments

For transactions where the Buyer selects “Pay in Person,” MarketHustle facilitates the booking but does not process the payment. Payment is arranged directly between the Buyer and Seller. MarketHustle bears no responsibility for collecting, verifying, or guaranteeing in-person payments.

6.5 Cancellation and Refunds

Cancellation and refund terms are determined by the cancellation policy selected by the Seller for each Service (Flexible, Moderate, or Strict). The applicable cancellation policy is displayed to Buyers before they complete a Booking. Refunds for Buyer-initiated cancellations are processed automatically based on the applicable policy. Vendor-initiated cancellations result in a full refund to the Buyer.

6.6 Disputes

MarketHustle provides a dispute resolution process to help mediate disagreements between Buyers and Sellers regarding the quality or delivery of services. However, MarketHustle is not obligated to resolve every dispute and is not responsible for the outcome of any transaction. See Section 15 for the dispute process.

7. Prohibited Conduct

Users agree not to:

(a) Use the Platform for any illegal purpose or in violation of any applicable law or regulation.

(b) Post false, misleading, defamatory, or fraudulent Content.

(c) Offer or solicit services that are illegal, unsafe, discriminatory, or prohibited by applicable law.

(d) Discriminate against any person based on race, color, religion, national origin, sex, sexual orientation, gender identity, disability, age, or any other characteristic protected by applicable law.

(e) Harass, threaten, intimidate, or abuse other Users.

(f) Circumvent or attempt to circumvent the Platform's payment system, including directing Buyers to pay outside the Platform to avoid fees.

(g) Create multiple accounts for fraudulent purposes.

(h) Scrape, harvest, or collect information from the Platform without authorization.

(i) Interfere with or disrupt the Platform or its servers or networks.

(j) Impersonate another person or entity.

(k) Post spam, solicitations, or unsolicited commercial messages.

(l) Upload viruses, malware, or other harmful code.

(m) Violate the intellectual property rights of MarketHustle or any third party.

8. Content and Intellectual Property

8.1 User Content

Users retain ownership of Content they post to the Platform. By posting Content, you grant MarketHustle a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and display such Content in connection with operating and promoting the Platform.

8.2 Content Responsibility

Users are solely responsible for their Content. MarketHustle does not endorse, verify, or guarantee the accuracy of any User Content, including reviews, listings, or messages. MarketHustle reserves the right to remove any Content that violates these Terms or is otherwise objectionable, without notice.

8.3 DMCA / Copyright Complaints

MarketHustle respects the intellectual property rights of others. If you believe that Content on the Platform infringes your copyright, you may submit a notice to our designated copyright agent at legal@markethustle.co with the following information: (a) identification of the copyrighted work, (b) identification of the infringing material and its location on the Platform, (c) your contact information, (d) a statement of good faith belief that the use is not authorized, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

8.4 MarketHustle Intellectual Property

The Platform, including its design, features, functionality, logos, trademarks, and all related intellectual property, is owned by MarketHustle and protected by applicable intellectual property laws. Users may not copy, modify, distribute, or create derivative works of the Platform without prior written consent.

9. Reviews and Ratings

9.1 Honest Reviews

Users may leave reviews and ratings for services they have received. Reviews must be honest, accurate, and based on genuine personal experience. Fake reviews, paid reviews, or reviews intended to manipulate ratings are prohibited.

9.2 No Guarantee of Accuracy

MarketHustle does not verify the accuracy of reviews and ratings. Reviews represent the opinions of individual Users and do not reflect the views of MarketHustle. MarketHustle is not responsible for any decisions made based on reviews or ratings.

9.3 Review Removal

MarketHustle reserves the right to remove reviews that violate these Terms, contain prohibited content, or are determined to be fraudulent or manipulative.

10. Community Features (Circles)

10.1 Circle Content

Content posted in Circles (community groups) is the sole responsibility of the User who posted it. MarketHustle does not monitor, endorse, or verify Circle content. Circle owners and administrators are responsible for moderating content within their Circles.

10.2 Promotional Content

Promotional content, offers, and deals shared within Circles are the responsibility of the posting User. MarketHustle does not guarantee, verify, or endorse any offers, discounts, or promotions shared within Circles.

11. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

12. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, CONTENT, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKETHUSTLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MARKETHUSTLE DOES NOT WARRANT THAT:

(A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

(B) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE;

(C) THE QUALITY OF ANY SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS;

(D) ANY SELLER IS LICENSED, INSURED, QUALIFIED, OR COMPETENT TO PROVIDE THEIR SERVICES;

(E) ANY SERVICE OR PRODUCT OBTAINED THROUGH THE PLATFORM WILL BE SAFE, LEGAL, OR OF SATISFACTORY QUALITY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKETHUSTLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

(A) YOUR USE OF OR INABILITY TO USE THE PLATFORM;

(B) ANY TRANSACTION, SERVICE, OR INTERACTION BETWEEN YOU AND ANY OTHER USER;

(C) ANY CONTENT POSTED OR TRANSMITTED THROUGH THE PLATFORM;

(D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

(E) ANY PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM RESULTING FROM SERVICES OBTAINED THROUGH THE PLATFORM;

(F) THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE.

IN NO EVENT SHALL MARKETHUSTLE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MARKETHUSTLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless MarketHustle, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

(a) Your use of the Platform;

(b) Your violation of these Terms;

(c) Your violation of any applicable law or the rights of any third party;

(d) Any Content you post or transmit through the Platform;

(e) Any services you provide or receive through the Platform;

(f) Any dispute between you and another User.

15. Dispute Resolution Between Users

15.1 Direct Resolution

MarketHustle encourages Users to resolve disputes directly with each other through the Platform's messaging system. Many issues can be resolved through clear communication.

15.2 Platform Dispute Process

If direct resolution fails, either party may initiate a dispute through the Platform. MarketHustle may, at its sole discretion, review disputes and facilitate resolution. MarketHustle's dispute resolution is not a judicial process and MarketHustle's decisions are not legally binding arbitration awards. MarketHustle reserves the right to make final decisions regarding refunds for transactions processed through the Platform.

15.3 No Obligation

MarketHustle is under no obligation to intervene in or resolve disputes between Users. MarketHustle may decline to participate in any dispute at its sole discretion.

16. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

16.1 Agreement to Arbitrate

You and MarketHustle agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any transaction conducted through the Platform (“Dispute”) will be resolved by binding individual arbitration and not in a court of law.

16.2 Informal Resolution First

Before initiating arbitration, you agree to first contact us at legal@markethustle.co and attempt to resolve the Dispute informally for at least 30 days. If the Dispute is not resolved within 30 days, either party may initiate arbitration.

16.3 Arbitration Rules

Arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in Cook County, Illinois, unless you and MarketHustle agree otherwise. The arbitrator's decision will be final and binding.

16.4 Class Action Waiver

YOU AND MARKETHUSTLE AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

16.5 Exceptions

This arbitration agreement does not apply to: (a) claims for injunctive or equitable relief; (b) claims related to intellectual property infringement; or (c) claims that may be brought in small claims court.

16.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@markethustle.co within 30 days of creating your account. If you opt out, you and MarketHustle agree to submit to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Cook County, Illinois.

18. Account Termination

18.1 User Termination

You may deactivate your account at any time through your account settings or by contacting us. Deactivation does not release you from obligations incurred before deactivation, including pending transactions and outstanding payments.

18.2 MarketHustle Termination

MarketHustle reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Any pending earnings will be disbursed in accordance with our payment terms, subject to any holds for pending disputes.

19. Modifications to Terms

MarketHustle reserves the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Platform.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MarketHustle regarding the Platform and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20.3 Waiver

The failure of MarketHustle to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without MarketHustle's prior written consent. MarketHustle may assign these Terms without restriction.

20.5 Force Majeure

MarketHustle shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, epidemics, government actions, labor disputes, internet outages, or utility failures.
