This Seller Agreement (“Agreement”) is a legal agreement between you (“Seller,” “you,” or “your”) and MarketHustle LLC (“MarketHustle,” “we,” “us,” or “our”). This Agreement governs your use of the MarketHustle platform (the “Platform”) as a Seller and supplements the MarketHustle Terms of Service, which are incorporated herein by reference.
By listing a service or product on the Platform, you agree to be bound by this Agreement.
1. Independent Contractor Status
1.1 You Are Not an Employee
You are an independent contractor and not an employee, agent, partner, or representative of MarketHustle. This Agreement does not create an employment, agency, partnership, or joint venture relationship between you and MarketHustle.
1.2 Control of Your Services
You retain full control over the manner, method, and means of performing your services. MarketHustle does not direct, supervise, or control how you perform your work. You determine your own prices, schedule, availability, service area, and methods of service delivery.
1.3 Tax Responsibility
As an independent contractor, you are solely responsible for all tax obligations arising from your activities on the Platform, including but not limited to federal and state income tax, self-employment tax, and any applicable sales tax. MarketHustle does not collect or remit sales tax on transactions processed through the Platform. If your services or products are subject to sales tax in your jurisdiction, you are responsible for collecting and remitting those taxes independently. MarketHustle may issue a Form 1099-K or 1099-NEC as required by the Internal Revenue Service for payments processed through the Platform. It is your responsibility to report all income earned through the Platform, regardless of whether you receive a tax form.
2. Seller Qualifications and Representations
2.1 Licenses and Permits
You represent and warrant that you possess all necessary licenses, permits, certifications, and registrations required by applicable federal, state, and local laws to provide the services you list on the Platform. This includes, but is not limited to, business licenses, professional certifications, contractor licenses, food handler permits, health department approvals, and any industry-specific certifications.
You agree to maintain all required licenses and permits in good standing for as long as you offer services through the Platform. You agree to promptly remove or deactivate any listing for which you no longer hold the required qualifications.
2.2 Insurance
You are strongly encouraged to maintain adequate insurance coverage for the services you provide, including general liability insurance and professional liability insurance where applicable. MarketHustle does not provide insurance coverage for Sellers or their services. You agree that MarketHustle is not responsible for any claims, damages, or losses arising from your services, whether or not you maintain insurance.
2.3 Legal Compliance
You agree to comply with all applicable federal, state, and local laws, regulations, ordinances, and industry standards in connection with your use of the Platform and the services you provide. This includes, but is not limited to:
(a) Labor and employment laws
(b) Health and safety regulations
(c) Anti-discrimination laws (federal, state, and local)
(d) Consumer protection laws
(e) Food safety and handling regulations (if applicable)
(f) Data protection and privacy laws
(g) Tax laws and reporting requirements
2.4 Age Requirement
You must be at least 18 years of age to list services or products on the Platform.
3. Food Services — Special Requirements
If you offer food, catering, baking, meal preparation, or any food-related service through the Platform, you additionally represent and warrant that:
(a) You comply with all applicable federal, state, and local food safety laws and regulations, including the Illinois Food Handling Regulation Enforcement Act and any applicable cottage food laws.
(b) You have obtained all required food handler certifications, kitchen inspections, and health department permits, where applicable.
(c) You prepare, store, handle, and transport food in accordance with applicable health and safety standards.
(d) You accurately disclose all ingredients and potential allergens in your food products and service descriptions.
(e) You understand and acknowledge that MarketHustle does not inspect, certify, verify, or monitor your food preparation facilities, ingredients, certifications, or food safety practices.
(f) You assume full responsibility for the safety and quality of any food products or food services you provide through the Platform.
4. Anti-Discrimination Policy
4.1 Non-Discrimination
You agree that you will not discriminate against any Buyer or potential Buyer on the basis of race, color, ethnicity, national origin, religion, sex, sexual orientation, gender identity, marital status, familial status, disability, age, or any other characteristic protected by applicable federal, state, or local law.
4.2 Equal Service
You agree to provide the same quality of service to all Buyers, regardless of the characteristics listed above. Selective refusal of service based on protected characteristics is a violation of this Agreement and may result in immediate account termination.
4.3 Accessibility
You are encouraged to make reasonable accommodations for Buyers with disabilities where feasible and consistent with applicable law.
5. Listing Standards
5.1 Accurate Listings
You agree to provide accurate, complete, and truthful information in your listings, including:
(a) Clear and accurate descriptions of the services or products you offer
(b) Current and accurate pricing, including any additional fees
(c) Accurate availability and scheduling information
(d) Genuine and unaltered photos and images
(e) Accurate location and service area information
5.2 Prohibited Listings
You may not list services or products that are:
(a) Illegal or in violation of any applicable law
(b) Unsafe or hazardous to the health or safety of others
(c) Fraudulent, deceptive, or misleading
(d) Infringing on the intellectual property rights of others
(e) Discriminatory in nature
(f) Adult, sexual, or obscene in nature
(g) Related to weapons, controlled substances, or other prohibited items
5.3 Listing Removal
MarketHustle reserves the right to remove, edit, or deactivate any listing at its sole discretion, without prior notice, for any reason, including violation of this Agreement or the Terms of Service.
6. Booking Fulfillment
6.1 Commitment to Fulfill
By accepting a Booking (whether through automatic confirmation for Pay Now transactions or manual acceptance for Pay in Person requests), you commit to providing the service as described in your listing and agreed upon with the Buyer. Failure to fulfill accepted Bookings may result in penalties, reduced visibility, or account termination.
6.2 Communication
You agree to communicate promptly and professionally with Buyers regarding Bookings, including responding to inquiries, confirming details, and providing updates. Timely communication contributes to a positive experience for all Users and affects your standing on the Platform.
6.3 Cancellation by Seller
If you must cancel an accepted Booking, you agree that:
(a) The Buyer will receive a full refund of any payment made through the Platform, regardless of the cancellation policy.
(b) Repeated cancellations may result in reduced visibility in search results, loss of badges, or account suspension.
(c) You will make reasonable efforts to notify the Buyer as early as possible.
7. Payments and Fees
7.1 Platform Fee
MarketHustle charges a 5% platform service fee on each transaction processed through the Platform. This fee is deducted from your earnings at the time of transfer. The platform fee is subject to change with at least 30 days' notice.
7.2 Stripe Connect
To receive payments processed through the Platform, you must set up a Stripe Connect account. Stripe's terms of service and privacy policy govern your use of Stripe Connect. MarketHustle is not responsible for Stripe's actions, fees, or policies.
7.3 Payment Hold
For Pay Now transactions, your earnings (minus the platform fee) are transferred to your Stripe account after the Buyer accepts delivery of the service. If you have not completed Stripe Connect setup, your earnings are held by MarketHustle until you complete setup, at which point held earnings are automatically transferred.
7.4 In-Person Payments
For Pay in Person transactions, payment is arranged directly between you and the Buyer. MarketHustle does not facilitate, guarantee, or collect in-person payments. You assume all risk associated with in-person payment arrangements.
7.5 Chargebacks and Disputes
If a Buyer initiates a chargeback or payment dispute through their bank or credit card company, MarketHustle may debit the disputed amount from your pending or future earnings. MarketHustle will make reasonable efforts to notify you of chargebacks and may assist in disputing fraudulent chargebacks, but is not obligated to do so.
8. Content and Intellectual Property
8.1 Your Content
You retain ownership of the content you post to the Platform, including listing descriptions, images, and promotional materials. By posting content, you grant MarketHustle a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Platform.
8.2 Original Content
You represent and warrant that all content you post is original or that you have the right to use it. You agree not to post content that infringes the intellectual property rights of any third party.
9. Account Suspension and Termination
9.1 Grounds for Suspension or Termination
MarketHustle may suspend or terminate your Seller account at any time, with or without notice, for reasons including but not limited to:
(a) Violation of this Agreement or the Terms of Service
(b) Fraudulent or deceptive activity
(c) Repeated poor-quality service or excessive negative reviews
(d) Failure to fulfill accepted Bookings
(e) Discrimination against Buyers
(f) Failure to maintain required licenses or permits
(g) Engaging in illegal activity through the Platform
(h) Failure to respond to Buyer inquiries or Bookings in a timely manner
9.2 Effect of Termination
Upon termination, your listings will be removed and you will no longer be able to accept new Bookings. You remain responsible for fulfilling any accepted Bookings that are pending at the time of termination. Any pending earnings will be disbursed in accordance with our payment terms, subject to any holds for pending disputes, chargebacks, or refunds.
10. Indemnification
You agree to indemnify, defend, and hold harmless MarketHustle, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
(a) The services you provide through the Platform
(b) Any injury, damage, or loss caused by your services, products, or actions
(c) Your violation of this Agreement, the Terms of Service, or any applicable law
(d) Any claim that your Content infringes the rights of a third party
(e) Any tax liability arising from your activities on the Platform
(f) Any employment-related claims by individuals you engage to assist with your services
11. Limitation of Liability
MARKETHUSTLE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
MARKETHUSTLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM AS A SELLER.
12. Modifications
MarketHustle reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Platform and/or by email. Your continued use of the Platform as a Seller after changes are posted constitutes acceptance of the modified Agreement.
13. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Illinois. Disputes between you and MarketHustle are subject to the binding arbitration and class action waiver provisions in Section 16 of the Terms of Service.
